بررسی عمومی قرارداد به تو می‌گوید بند غرامت گسترده است؛ نمی‌گوید دفتر خودت این را می‌پذیرد یا نه. این متن قرارداد طرف مقابل را در برابر مواضع خودت می‌سنجد — چه چیزی قابل قبول است، کجا کوتاه می‌آیی، کجا از معامله بیرون می‌روی — و یافته‌ها را به ترتیب میزان خطر می‌چیند نه به ترتیب صفحه. مهم‌تر اینکه سراغ بندهای غایب هم می‌رود؛ همان نیمه‌ای که خواندن بند به بند هرگز پیدایش نمی‌کند.

Deal context: [value, term, what we are really buying or selling, our leverage]

Report in this order:
A. Deviations from my positions. For each: clause number, the exact words that
   create the problem, what it means for us in one sentence, and which of my
   three lines it crosses.
B. Silences. Clauses that are absent and should not be, given the deal. A
   missing limitation of liability is not a clean contract.
C. Definitions that do the damage. Any defined term whose definition changes
   the effect of a clause far away from it — carve-outs buried inside
   "Confidential Information", "Affiliate", "Losses", "Services".
D. Cross-references and survival: which obligations survive termination, and
   any clause pointing at a section that says something other than what it is
   being used to say.
E. Everything else, once, as a short list. Do not pad it.

Rules:
- Order by exposure, not by page order. The uncapped indemnity comes before
  the notice provision.
- Say what is actually wrong. "This is broad" is not a finding. "This makes us
  liable for their subcontractor's data breach" is.
- If a clause is acceptable, say nothing about it.
- Where the answer depends on facts I have not given — our insurance, where
  data is processed, which entity signs — ask instead of assuming.
