A Redline the Client Can Actually Answer

A Redline the Client Can Actually Answer

Converts markup into five decisions with our ask, our fallback and a dealbreaker flag, in language a business owner can act on.

What it is for

A client cannot answer a redline, and a forty-item issues list gets signed on instinct. This turns markup into at most five decisions — what the wording does to them in one plain sentence, what we asked for, what we will take, and whether it is a dealbreaker — plus the questions only they can answer about their own business. Anything the model is unsure of is quoted and marked, not summarised over.

The skill

Turn the markup in this document into an issues list for the client. The
client runs a business, is not a lawyer, and has ten minutes.

Client: [who they are, what they care about in this deal]
Deal: [value, term, how much leverage the other side has]
Our markup: [in this document]

Produce, in this order:
1. The decisions. At most five, ordered by money and risk. For each:
   - what the other side's wording does to them, one sentence, no legal terms
   - what we asked for instead
   - what we will take if they push back
   - DEALBREAKER or NEGOTIABLE, one word
2. Changes made that need no decision, as one short paragraph. Do not list
   forty of them.
3. Questions only the client can answer: facts about their own business that
change our position — insurance limits, where data is processed, whether
they use subcontractors, which entity signs.

Rules:
- A typo and an uncapped indemnity are not both "an issue". If everything is
flagged, nothing is read, and they sign on instinct instead.
- Quantify wherever a number exists: "liability is currently unlimited; the
  contract is worth [x]".
- No advice hedged into invisibility. Say what we recommend, and why.
- Anything you are not certain the document says: mark CHECK, quote the clause
and stop. Do not summarise across uncertainty.

Then write the covering email: under 150 words, the recommendation in the
first line, the decisions as a numbered list, and a date for their reply.
