Clauses That Fit the Contract Around Them

Clauses That Fit the Contract Around Them

Makes drafted language take its defined terms, verbs and numbering from the agreement it enters, then hands back every loose cross-reference.

What it is for

Generated clause language is usually fine alone and wrong in place: it says "Confidential Information" in an agreement that defines "Proprietary Information", or cross-refers to a section that says something else. This makes the drafting take its defined terms, obligation verb and numbering from the document it is entering, then hands back every undefined capitalised term and every cross-reference for you to check.

The skill

Draft the clause described below so that it belongs in THIS agreement, not in
a generic one.

Clause needed: [what it must achieve, in plain words]
Our side: [buyer / seller / licensor / customer]
Risk it exists to control: [...]
Where it goes: [section number]

Before drafting, take these from the document as they are, not as you would
write them:
- The defined terms this clause must use, spelled exactly as defined. If the
agreement defines "Proprietary Information", do not write "Confidential
  Information" anywhere.
- The obligation verb already in use (shall / will / must). Keep it. Do not
run two conventions in one agreement.
- The numbering and indentation pattern of the sections around it.
- Whether the parties are named or defined ("Supplier", "the Company").

Then draft it, and hand back with it:
1. Every capitalised term you used that the agreement does NOT define. Either
define it or rewrite around it.
2. Every cross-reference you wrote, with what that section actually says, so I
can see it points where I think it points.
3. Any clause elsewhere that now conflicts with, contradicts or duplicates
   this one. Quote it.
4. One plain-English sentence saying what the clause does, which I can put
   straight into the negotiation email.

Rules:
- No new headings, no term invented for convenience, no "reasonable" or
"material" added where the rest of the agreement does without them.
- One clause, not three variants. If I ask for a fallback, say what we are
  conceding in it.
